GIVEAWAY CONTEST OFFICIAL RULES

 

NO PURCHASE OR PAYMENT REQUIRED TO ENTER OR WIN.

The details of the prize and how to enter the Giveaway are contained in these Official Rules.

ELIGIBILITY.  The FAZE 5 CONTEST (the “Giveaway”) is only open to legal residents of the United States (49 States and Washington D.C, excluding Alaska.), who are of legal at least 11 years old to participate (with verifiable parental consent if between 11 and 18 years old) at the time of entry. Only entrants that are 18 years old (or the age of majority in your state of residence, whichever is older) at the time of entry will be eligible to win the customized Nissan Kicks vehicle.  Void where prohibited or restricted by law, rule or regulation.  Employees of FaZe Clan Inc. (“Sponsor”), any company or prize providers associated with this Giveaway, and each of their respective parent companies, affiliates, subsidiaries, advertising or promotion agencies are not eligible, nor are members of these employees' families (defined as parents, children, siblings, spouse, and life partners).  Proof of residency and age are required.  The Giveaway is subject to all applicable federal, state, and local laws, rules and regulations.

TIMING.  The Giveaway begins at 12:00 P.M. Pacific Daylight Time (“PDT”) on September 4, 2020 and ends at 5:00 P.M. Pacific Standard Time (“PST”) on December 31, 2020 (“Promotion Period”).  Entries received prior to or after the Promotion Period are disqualified.

TO ENTER. Entrant must complete the FaZe Five Registration online (located at https://fazeclan.com/pages/faze5) and must post content to their social platform (either Twitter or YouTube) during each submission stage of the challenge.  Entrants must upload an edited video, if on Twitter using the hashtag (#FaZe5 AND #GFUEL), or if on YouTube using “FaZe 5 AND G FUEL” in the title or description of the video. The edited video must feature original gameplay and follow the instructions that will be provided at the beginning of each round, via video on FaZe Clan’s YouTube channel. The video instructions will describe what kind of gameplay FaZe Clan is considering for each round of the challenge. The call to action featured in the YouTube video at the beginning of each submission stage can also be found at https://fazeclan.com/pages/faze5.The gameplay in your video must be in accordance with the time period of each stage and cannot be content made previously for other stages. Gameplay and content featured in the edited video must be original content. Multiple entries received from the same individual/account on Twitter and/or YouTube in excess of the stated limitation will be void.

Entrants will automatically be disqualified if their submissions include defamatory, racist, inflammatory, obscene and other inappropriate, unlawful or legally restricted material. Entrants agree and warrant that submissions will be Entrants own original work and will not infringe any third-party rights (in other words, you are not stealing someone else’s content and claiming it as your own).

Information for the various submission stages are broken down below. Selection of entrants will be based on fan engagement and content quality of submissions during each submission stage.  Considerations for fan engagement includes: likes, comments, views, retweets, subscribers. Content quality of submissions is based on level of gameplay, presentation of content in edited form, and design of thumbnail.

 

A. Stage 1: Open to everyone that has completed the FaZe Five Registration AND posted content on Twitter or YouTube

a. This open period will commence on September 4, 2020, and continue until September 18, 2020 at 11:59 P.M. PST

B. Stage 2: Entrants will be narrowed down to Top 100

a. The Top 100 entrants will be announced on the microsite (https://fazeclan.com/pages/faze5) on or about October 9, 2020

C. Stage 3: Entrants will be narrowed down further from the Top 100 to Top 20 on the microsite (URL) on or about November 2, 2020

a. At Stage 3 of the submission stage, potential Winners will be required to sign a document committing to move on to Stage 4 in order to be considered for the selection of the Top 5

D. Stage 4: Out of the Top 20, the Top 5 entrants (hereinafter “FaZe 5”) will be selected at FaZe Clan’s discretion

a. FaZe 5 potential Winners will be notified by email on or about December 31, 2020

b. FaZe 5 potential Winners will be announced on or about January 8, 2020 but no later than January 15, 2020

 

A. Out of the top twenty entrants, the top five participants (hereinafter “FaZe 5”) will be selected by Banks, Apex, and Cbass to become members of FaZe Clan. Subject to signing an agreement with Sponsor

B. One potential Winner from FaZe 5 will be selected to win a Nissan Kicks and live in the FaZe House (Prizes described below)

THIS GIVEAWAY IS NOT AFFILIATED OR ENDORSED BY YOUTUBE OR TWITTER. ALL ENTRANTS MUST COMPLY WITH YOUTUBE AND TWITTER’S POLICIES AND GUIDELINES.

USE OF DATA. Sponsor will be collecting personal data about participants (including, without limitation, name, phone number, mailing address, gamer alias, gender, age, e-mail addresses) when they enter the Giveaway through YouTube or Twitter.  Sponsor is entitled to use personal data contained in the registration form in accordance with the Sponsor’s privacy policy. By participating in the Giveaway, entrants hereby agree to all personal information uses and disclaimers as explained in Sponsor’s Privacy Policy at https://fazeclan.com/pages/privacy-policy. Notwithstanding any contrary provision in the Sponsor’s privacy policies, entrants grant to the Sponsor, and the Sponsor reserves, the right to use any and all information related to the Giveaway, including information provided by entrants in connection with the Giveaway, for any purpose, unless prohibited by law. Entrants may be required to sign a release, which grants the Sponsor the right to use and publish their proper name online or in any other media in connection with the Giveaway.  In order to accept a prize, entrants shall be required to sign a release that grants permission to the Sponsor to use his or her name, photograph, likeness, prize information and/or biographical information without future compensation unless prohibited by law.  By entering, participants release and hold harmless the Sponsor, its respective parents, subsidiaries, affiliates, directors, officers, employees, and agents from any and all liability for any injuries, loss or damages of any kind arising from or in connection with the Giveaway, Sponsor’s website, Sponsor’s social media pages or any prize won.

AGREEMENT TO OFFICIAL RULES. Participation in the Giveaway constitutes entrant's full and unconditional agreement to and full acceptance of these Official Rules and Sponsor's Privacy Policy at https://fazeclan.com/pages/privacy-policy and to be contacted by telephone and/or email. 

SELECTION OF POTENTIAL WINNERS. FaZe 5 members will be selected and contacted on or about December 31, 2020. Sponsor's decisions as to all matters related to administration of the Giveaway and selection of the Winner is final.  The Potential Winner must comply with all terms and conditions set forth in these Official Rules, and winning and award of prizes are contingent upon fulfilling all requirements.  If a potential Winner cannot be contacted within twenty-four (24) hours after the first attempt to contact such potential Winner, an alternate entrant will be selected in his or her place from all eligible entries received.

PRIZES:

A. One (1) 2020 Nissan Kicks vehicle that has been customized by West Coast Customs, which will be given to the first FaZe 5 Winner announced (must be 18 or older to receive);

a. Approximate prize value is $25,000 USD.

B. The FaZe 5 winners will have a chance to become a member of FaZe Clan subject to signing a FaZe Clan Content Creator Agreement and passing a background check;

a. FaZe 5 winners will have ten (10) days to accept the FaZe Clan Content Agreement;

b. Each FaZe 5 winner will receive $20,000 USD

c. Each FaZe 5 winner will receive a GFUEL endorsement contract for 3-6 months, valued at $2,000 - $5,000 USD per month.

C. Entrants that make the Top 100 will receive a G FUEL shaker cup

 

RESTRICTIONS:  Any and all costs and expenses associated with the Prize acceptance and use not otherwise specified herein as being provided, including, without limitation, any Prize transportation costs; dealer prep, licensing, auto insurance; registration fees or any other expenses of a personal nature, are the sole responsibility of the Winner.  The Winner is fully responsible for any and all applicable federal, state, and local taxes (including, without limitation, sales tax, income and withholding taxes).  Winner must have proof of insurance to take delivery of customized Nissan Kicks vehicle and must take delivery of the vehicle at a location determined by Sponsor. .Except where otherwise expressly noted in these Official Rules, the selection of all vendors, prizes, products and services is subject to the Sponsor’s sole and absolute discretion.  Prizes (and/or any portion thereof) are nontransferable and non-exchangeable.  No substitutions or cash redemption of any Prize is permitted except that Sponsor retains the right to substitute a prize of equal or greater retail value. Additional restrictions may apply.

 

WAIVER OF LIABILITY/PUBLICITY RELEASE.  The Winner must execute and return to Sponsor an Affidavit of Eligibility/Release of Liability, Publicity (“Affidavit”) provided by Sponsor and if requested, a W9, prior to receipt of Prize.  Noncompliance within this time period may result in disqualification, and an alternate winner may be selected. Return of any Prize notification as undeliverable may result in disqualification and selection of an alternate winner.  WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE PRIZE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, BY SPONSOR OR NISSAN NORTH AMERICA, AND THE RELEASEES (DEFINED BELOW) HEREBY DISCLAIM ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

 

REPACKAGING CONTENT. By participating in the Giveaway and creating original content for an opportunity to be a FaZe 5 winner, you grant Sponsor a non-exclusive worldwide, sublicensable, irrevocable license to repackage, reformat, reproduce, exhibit, distribute and otherwise exploit in perpetuity throughout the universe (in whole or in part) such original content (royalty-free) created for FaZe 5 from your personal YouTube or Twitter page. The content used must match the YouTube channel or Twitter handle of the entrants registration form.

 

GENERAL CONDITIONS.  The Giveaway is governed by the laws of the United States and the State of California, excluding conflicts of laws principles. All federal, state and local laws and regulations apply. Giveaway void where prohibited. Giveaway may only be entered in or from United States and entries originating from any other jurisdiction are not eligible for entry.

Except where prohibited by law, the Winner grants to Sponsor and its advertising agencies the right to use and publish Winner's photo, proper name, likeness, voice, opinions, biographical information and state in any media to promote the Giveaway without additional compensation.

By entering, you release, indemnify and hold harmless Sponsor, any companies or prize providers associated with this Giveaway and each of its and their respective parent companies, subsidiaries, affiliates, owners, members, shareholders, directors, officers, employees and agents (each a “Releasee” and collectively the, “Releasees”) from any and all liability for any injuries, loss or damage of any kind, including death, arising from or in connection with the Giveaway or receipt or use and/or misuse of any Prize.

Sponsor reserves the right to cancel or modify the Giveaway if fraud or any other factor impairs the integrity of the Giveaway as determined by Sponsor in its sole discretion.

Entries are deemed made by the authorized account holder of the e-mail address submitted at the time of entry. The "authorized account holder" is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential Winner may be requested to provide Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry and is a U.S. resident.  Prize will only be awarded to the authorized account holder.

If, in Sponsor’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Giveaway, or if technical difficulties compromise the integrity of the Giveaway, Sponsor reserves the right in its sole discretion to void any entries at issue (including disqualifying any individual who tampers or otherwise interferes with the entry process), and to cancel, terminate, modify or suspend the Giveaway, in whole or in part, at any time without notice. In the event of such cancellation, Sponsor reserves the right to award prize to another participant that makes it to the top five portion of the competition before the time of cancellation. Sponsor in no way promote illegal acts, and any and all entries which include or promote illegal acts will be disqualified. 

Sponsor assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction of unauthorized access to, or alternation of, entries. Sponsor is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or entry received by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site, any combination thereof, or otherwise, including any injury or damage to entrant's or any other person's computer related to or resulting from participation or downloading any materials in the giveaway.

CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. 

Participants in the Giveaway hereby consent to the exclusive jurisdiction and venue of California courts (state and federal) in Los Angeles County for any causes or controversies arising out of the giveaway. Winner waives any and all objections to jurisdiction and venue in these courts. Entrants hereby agree that any and all disputes, claims, causes of action, or controversies (“Claims”) arising out of or in connection with this Giveaway shall be resolved, upon the election by entrant or Sponsor, by arbitration pursuant to this provision and the code of procedures of either the National Arbitration Forum (“NAF”) or the American Arbitration Association (“AAA”), as selected by the entrant. IF ARBITRATION IS CHOSEN BY ANY PARTY WITH RESPECT TO A CLAIM, NEITHER PARTY WILL HAVE THE RIGHT TO LITIGATE THAT CLAIM IN COURT OR HAVE A JURY TRIAL ON THAT CLAIM.  FURTHER, NEITHER SPONSOR NOR ENTRANT WILL HAVE THE RIGHT TO PARTICIPATE IN A REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR OTHER PERSONS SIMILARLY SITUATED, OR AS A MEMBER OF ANY CLASS OF CLAIMANTS PERTAINING TO ANY CLAIM SUBJECT TO ARBITRATION.  EXCEPT AS SET FORTH BELOW, THE ARBITRATOR’S DECISION WILL BE FINAL CONFIDENTIAL AND BINDING. NOTE THAT OTHER RIGHTS THAT ENTRANT WOULD HAVE IF ENTRANT WENT TO COURT ALSO MAY NOT BE AVAILABLE IN ARBITRATION. The arbitrator’s authority to resolve Claims is limited to Claims between Sponsor and entrant alone, and the arbitrator’s authority to make awards is limited to awards to Sponsor and entrant alone. Furthermore, claims brought by either party against the other may not be joined or consolidated in arbitration with Claims brought by or against any third party, unless agreed to in writing by all parties. No arbitration award or decision will have any preclusive effect as to issues or claims in any dispute with anyone who is not a named party to the arbitration.
