Eligible Entrants
This contest and giveaway (the "Promotion") is open to all natural persons who are legal residents of the fifty (50) United States and District of Columbia (the "Territories") who fulfill the method of entry requirements set forth below and are at least 18 years of age and the age of majority in his/her state of residence at the time of entry (the "Entrants").
Employees and immediate family members of the Host and PayPal Inc. are also not eligible to win. Immediate family members are defined as spouses, parents and children.
Promotion Period
The Promotion entry period for the FaZe Clan and Venmo Holiday Campaign will begin on or about December 4, 2019 at 3pm PST and end on December 31, 2019 at 12pm PST.
No entries will be accepted outside this time.
Host
This Promotion is hosted and sponsored by FaZe Clan Inc. (the "Host"). The Host, and its agents shall conduct the Promotion substantially as described in these Terms and Conditions. Neither PayPal Inc. nor Venmo, a PayPal service, are sponsors of this Promotion.

Limitations on Entries
Entrants shall be limited to one (1) entry per person. For the avoidance of doubt, an Entrant may not enter the Promotion twice through two or more different means of entry. Individuals residing outside of the United States, shall not be permitted to enter the Promotion. Winners of Prizes valued at or greater than $600 must have a valid U.S. personal identification and will need to complete a W9 or they will be ineligible to win the applicable prize. The Promotion is subject to United States federal, state, and local laws and regulations. By participating in the Promotion all Entrants agree to these Terms and Conditions (the "Terms and Conditions").
Entry Terms
FaZe Clan members, listed above, shall host, stream and play video games with an Entrant in the Venmo Squads, Venmo 1v1 Challenge, Venmo FaZe House 2v2 Bracket Challenge, Venmo Shopping Spree with FaZe Rug & FaZe Adapt, Venmo & FaZe Clan Holiday Gaming Setup Giveaway, and $5 Dollar signups (the "Venmo Events") . The dates and times for the Venmo Events are described further below and shall be determined by the Host and announced by the Host or Influencer on the social media platforms of their choice or directly through Venmo. Entrants will be selected at random for each Venmo Event (the "Winners").
ENTRANT UNDERSTANDS THAT ENTRANT'S PARTICIPATION IN THIS PROMOTION IS NOT CONDITIONED UPON ENTRANT'S PURCHASE OF ANY PRODUCT OR SERVICE OR PAYMENT TO ANY ENTITY.
DETAILS FOR EACH VENMO EVENT
Venmo Squads
About: Play video games online with a FaZe Clan member(s).
Method of Entry: The only way someone can get selected to play with a FaZe Clan member is by downloading Venmo, friend request FaZe Clan's Venmo account, and leave a comment with your Venmo username on the FaZe member's social post that promotes the upcoming Squad Stream.
Maximum Number of Entries: 1 per entrant for each Venmo Squads.
Prize: Each Venmo Squad Winner will virtually join a FaZe Clan member to play video game during a sponsored Venmo stream. For example, if the game played is Fortnite, the squad will be comprised of FaZe Clan member(s) & two/three fans playing. During Venmo Squad 1, a FaZe Clan member will give away up to $5,000 USD to be split amongst viewers. During Venmo Squads 2 and 3, two FaZe Clan members will each give away up to $2,500 to be split amongst viewers.
Keep your eyes out for all three Tweets. Livestreams will take place between December 10 – 20, 2019. Streams will be announced the day(s) of going live on Twitter.
Random direct messaging through Venmo to take place on:
1. Venmo Squad 1: December 12;
2. Venmo Squad 2: Friday, December 16, 2019; and
3. Venmo Squad 3: Wednesday, December 18.
Selection of Winners: Once potential winners are randomly selected (the "Venmo Squad Winners"), FaZe Clan will obtain each Venmo Squad Winners' gamertag and reach out to them through the direct messaging on the Venmo platform. The Venmo Squad Winner must respond within two (2) hours of the direct message being sent. If the potential Winner fails to respond during the two (2) hour period, another potential Winner will be selected.
Venmo 1v1 Challenge
About: A one one challenge where a fan will get randomly selected to play COD against Apex.
Method of Entry: Download Venmo, friend request FaZe Clan's Venmo account, and leave a comment with your Venmo username on the FaZe member's social post that promotes the upcoming 1v1 challenge on Twitter.
Maximum Number of Entries: 1 per entrant
Prize: $100 if the Entrant selected to challenge Apex successfully beats Apex. If the fan does not win, Apex will randomly select one (1) Entrant from the comments section and gift the Entrant up to $1,000 USD through the Venmo platform.
Winner Selection to Compete against Apex: Sunday, December 8, 2019. Entrant must be available on December 10, 2019 from 1pm – 8pm PST to film the challenge for YouTube.
Winner Selection to Win from the Comments Section: The YouTube video of the 1v1 challenge will get posted on YouTube on December 20, 2019; on that same day Entrants that have left a comment on Apex's Twitter promotional post will get randomly selected to win up to $1,000 USD.
Venmo FaZe House 2v2 Bracket Challenge
About: There will be a YouTube video with a 2v2 contest amongst FaZe Clan members. Watch this contest to see if you guessed the winning team correctly.
Method of Entry: Download Venmo, friend request FaZe Clan's Venmo account, and leave a comment with your Venmo username on the FaZe member's Twitter post that promotes the 2v2 challenge and guess the winning team of the 2v2 contest correctly. After the conclusion of the contest amongst FaZe Clan members, 10 fans that left their Venmo username and guessed the winning team will be randomly selected to win $1,000 USD through Venmo. Entrants will have until December 19, 2019 to comment their guesses.

Venmo Shopping Spree with FaZe Rug & FaZe Adapt
About: One lucky FaZe fan will win an opportunity to come to Los Angeles, visit the FaZe Clan house and then go on a $10,000 USD shopping spree with FaZe Rug and FaZe Adapt in Los Angeles. During the shopping spree, FaZe Rug & FaZe Adapt will be sharing the experience with their followers via their Instagram through Instagram stories.
Method of Entry: To enter, fans have to friend request FaZe Clan's Venmo account.
Maximum Number of Entries: 1 per entrant
Prize: A trip to Los Angeles, a visit to the FaZe house and a $10,000 USD shopping spree with FaZe Rug and FaZe Adapt on Saturday, December 14, 2019 in Los Angeles, California. The Winner will be provided with a single economy ticket to travel to Los Angeles, as well as a hotel room. The Host will also provide a daily per diem.
Selection of Winner: A single Winner will be randomly selected on December 5, 2019. Winner must respond within 48 hours of receiving a message from FaZe Clan informing him or her that they have won.
Venmo & FaZe Clan Holiday Gaming Setup Giveaway
About: Over the course of two weeks, eight (8) winners will be randomly selected to receive gaming packages.
Method of Entry: Download Venmo, friend request FaZe Clan's Venmo account.
Maximum Number of Entries: 1 per entrant
Prize: A gaming package, each worth $1,500 in value.
Prize Selections: December 5 – December 18
$5 Dollar Signups
About: During the month of December 2019, the Host will be randomly giving away up to $5,000 to anyone on their friends list on Venmo.
Method of Entry: Download Venmo, friend request FaZe Clan's Venmo account.
Maximum Number of Entries: 1 per entrant
Prize: $1 - $500 USD from the FaZe Clan Venmo account.
Prize Selections: This prize is only available eligible entrants who successfully sign up for a valid Venmo account via the Download link within the Twitter or Instagram post.
Winner
The Host's decisions are final and binding on all aspects of this Promotion and not subject to appeal. The Host will attempt to notify potential winners (the "Notice") through the means specified in the Terms and Conditions. Receipt by Winner of the prize offered is conditioned upon compliance with any and all federal, state, and local laws and regulations. Any violation of these rules by Winner (at the Host's sole discretion) will result in Winner's disqualification and all privileges as Winner will be immediately terminated. To claim the prize, the potential Winners must respond as directed in the message sent to the potential Winner within the time set forth above, and in the direct message. The Host shall have no liability for the Winner's failure to receive Notices. If the Winner cannot be contacted, is ineligible, or fails to claim the Prize following the conclusion of each applicable time period, the Prize shall be forfeited, and an alternate Winner selected. Odds of being selected as a Winner are based on the total number of eligible entries received up until the date and time of each Winner selection.
Publicity. Except where prohibited, participation in the Promotion constitutes each Winner's consent to Host's and its agents' use of Winner's name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.
Intellectual Property. Entrant agrees that as a condition of entering the Promotion, the Host shall own, any and all intellectual property rights, including but not limited to copyrights, trademarks, patents, trade dresses and all similar rights arising out of or related to the Promotion (the "Intellectual Property Rights"). To the extent the Intellectual Property Rights do not vest in the Host and the Entrant retains any Intellectual Property Rights, Entrant hereby assigns the Intellectual Property Rights to the Host without the need for additional consideration.
General Conditions. In the event that the operation, security, or administration of the Promotion is impaired in any way for any reason, including, but not limited to fraud, virus, bug, worm, unauthorized human intervention or other technical problem, or in the event the Promotion is unable to run as planned for any other reason, as determined by Host in its sole discretion, the Host may, in its sole discretion, either (a) suspend the Promotion to address the impairment and then resume the Promotion in a manner that best conforms to the spirit of these Terms and Conditions or (b) terminate the Promotion. The Host reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of these Terms and Conditions or in an unsportsmanlike or disruptive manner. Any attempt by any person to damage the app or undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, the Host reserves the right to seek damages (including attorney's fees) and any other remedies from any such person to the fullest extent permitted by law. Failure by the Host to enforce any provision of these Terms and Conditions shall not constitute a waiver of that provision.
Release and Limitation of Liability. By participating in the Promotion, Entrants agree to release and hold harmless the Host, and PayPal, Inc., and each of their respective parents, subsidiaries, affiliates, advertising and promotion agencies, other companies associated with the Promotion, and each of their respective officers, directors, employees, shareholders, representatives, and agents (the "Released Parties") from and against any claim or cause of action arising out of participation in the Promotion or receipt, use, or damages arising from the Prize, including, but not limited to: (a) any technical errors associated with the Promotion, including lost, interrupted or unavailable Internet Service Provider (ISP), network, server, wireless service provider, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone, cellular tower or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) mechanical, network, electronic, computer, human, printing or typographical errors; (c) injuries arising from use of the Prize; (d) any other errors or problems in connection with the Promotion, including, without limitation, errors that may occur in the administration of the Promotion, the announcement of the winner; or (e) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from entrants participation in the Promotion or acceptance, receipt or misuse of the Prize (including any travel or activity related thereto).
Indemnification. Entrant, shall indemnify Host, PayPal Inc., and each of their respective parents, subsidiaries, affiliates, advertising and promotion agencies, and other companies associated with the Promotion, and each of their respective officers, directors, employees, shareholders, representatives, and agents, from and against all claims, damage, losses, costs (including without limitation, all reasonable legal costs), expenses, demands or liabilities arising out of or any breach of these Terms and Conditions by Entrant, including any representation and warranty hereto.
1. Representations and Warranties. Entrant hereby represents and warrants:
- Entrant is eligible to enter the Promotion and will comply with these Terms and Conditions;
- Any material displayed by the Entrant shall not infringe on third party intellectual property rights;
- Entrant is and shall remain in compliance with all applicable laws.
Arbitration. In the event of any dispute relating to this agreement which the parties cannot resolve, such dispute shall be finally settled exclusively by confidential binding arbitration in accordance with the Comprehensive Arbitration Rules of the Judicial Arbitration and Mediation Service, Inc. ("JAMS"), and pursuant to the rules and procedures of JAMS Streamlined for claims under $250,000, by one arbitrator experienced with entertainment industry transactions and appointed in accordance with the applicable aforementioned rules, with the prevailing party entitled to receive reasonable attorney's fees and costs as determined by the arbitrator. The arbitration shall take place in Los Angeles, California.
LIMITATION OF LIABILITY. ENTRANT FURTHER AGREES THAT IN ANY CAUSE OF ACTION, THE RELEASED PARTIES LIABILITY WILL BE LIMITED TO THE COST OF ENTERING AND PARTICIPATING IN THE PROMOTION. RELEASED PARTIES ARE ALSO NOT RESPONSIBLE FOR ANY INCORRECT OR INACCURATE INFORMATION, WHETHER CAUSED BY SITE USERS, TAMPERING, HACKING, OR BY ANY EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR UTILIZED IN THE PROMOTION. ENTRANT WAIVES THE RIGHT TO CLAIM ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, PUNITIVE, CONSEQUENTIAL, DIRECT, OR INDIRECT DAMAGES.

Prizes
For all Prizes: The Prize(s) consist only of the items described above (the "Prizes"). All Prize details are at the Host's sole discretion and are subject to change.
All applicable taxes on the Prize(s) are the sole responsibility of the Entrant and in no event will the Host be liable for said taxes. Entrant acknowledges and agrees that Venmo is in no way involved in the creation, execution, administration or fulfillment of the Promotion.
